Terms and Conditions
These Terms and Conditions form a binding agreement between Astrasoft (“the Company”) and you (“the Client”). Your acceptance of these terms is confirmed from the moment you sign our Website Agreement, Hosting Agreement, or Support Agreement.
We have made these Terms and Conditions as clear and concise as possible. If you have any questions, please contact us.
1. Terminology

“The Client” refers to you, the person or company entering into this agreement.

“The Company” refers to Astrasoft.

“The Project” refers to the work being undertaken by the Company, which may include consultation, graphic design, website development, and/or hosting.
2. Mutual Agreement
The Client Agrees to:

Provide the Company with all requested materials (text, images, and information) within a reasonable timeframe.

Supply text and images in the required digital format (see Photographs and Images).

Review the Company’s work promptly and provide feedback and approval in a timely manner.
-
Make every effort to adhere to agreed deadlines.
-
Follow the payment schedule listed on our pricing page or as otherwise agreed.

Inform the Company in advance of any confidential information to be shared, clearly marking such materials as “confidential.”

Provide a minimum of one month’s written notice to cancel any contract.
The Company Agrees to:

Carry out services in a professional and timely manner.

Make every reasonable effort to meet agreed deadlines.
-
Provide up to two major revisions to design concepts; further revisions will incur additional charges.

Complete requested updates within 48 hours, wherever possible (depending on your support package).

Maintain up-to-date knowledge and skills through ongoing training and research.

Contact the Client before the end of the first 12-month period to discuss maintenance, support, and hosting options.
3. Website Development

All websites are developed for compatibility across major browsers and platforms, including mobile devices.

The Company cannot guarantee compatibility with outdated or obsolete browser software.
4. Payments and Contract Lengths

Payment schedules are detailed on our pricing page or as otherwise agreed.

If the Client cancels the agreement after design approval but before the website launch, the Company reserves the right to charge up to 85% of the total project cost, depending on project stage.

Early cancellation of standing orders within the first 12 months constitutes a contract breach, making the Client liable for the remaining balance plus a ₹2500 administrative fee.

Clients are responsible for updating standing orders when contracts change. Overpayments will not be refunded; underpayments must be corrected promptly.

Contracts typically run for 12 months unless otherwise agreed.

A minimum of 30 days’ notice is required to cancel a support or hosting contract.
-
In bulk orders, if payment for one order is delayed or missed, the Company reserves the right to cancel all associated orders.
5. Content Management Systems (CMS)

All packages (except the “Start Up” package) are developed using a CMS.
-
Astrasoft uses WordPress as its primary CMS platform.
-
E-commerce projects may use alternative management systems, depending on scale and complexity.
-
Any setup, testing, or introductory training fees for CMS or E-commerce systems are included in your chosen package.
6. Photographs and Images

Supplied images should be digital, with a minimum resolution of 1024×768 pixels.
-
Traditional photos requiring scanning may incur additional costs.
-
Images obtained by the Company from third-party sources will be billed separately.

The Client guarantees ownership or permission for all supplied materials and agrees to indemnify the Company against any copyright claims.
-
Proof of ownership or permission may be requested.
7. Copyright

After the initial 12-month period, copyright is assigned as follows:

The Client owns (or has permission to use) all provided text, graphics, images, video, and sound.

The Company retains copies of all files used in connection with the project for at least one year.

Code, markup, and CSS created by the Company are licensed to the Client for use on the specific domain name.

A discreet credit link to the Company may appear at the bottom of the website.
-
The Company reserves the right to display and link to completed projects in its portfolio unless the Client requests otherwise before the website goes live.
8. Hosting

All websites are hosted on high-speed, managed dedicated servers with a 99.95% uptime guarantee.

Server specifications are available upon request.
9. Liability
The Company is not responsible for missed deadlines or launch dates caused by the Client’s delay in providing materials or approvals.
10. Confidentiality
The Company complies with all applicable data protection and privacy laws, including EU data regulations, and stores all client data securely.
11. General Terms

Websites will not launch until payment arrangements (standing order or BACS) are confirmed.

Additional design or feature costs will be invoiced prior to launch.

If the Client fails to select a support plan, the Company will assign an appropriate one automatically.

A small administrative fee applies for transferring hosting providers.
-
The Company does not guarantee full compatibility with third-party hosting environments.
-
Technical support is not provided for websites hosted elsewhere.
-
The Company is not liable for any damages, losses, or downtime arising from website operation or malfunction.

Any unlawful or unenforceable provisions will be deemed severable without affecting the validity of remaining terms.

This contract cannot be transferred without written consent.

This agreement remains in force indefinitely unless terminated under these terms.
12. Governing Law & Jurisdiction
This agreement is governed by and construed in accordance with the laws of India.
All disputes are subject to the exclusive jurisdiction of the courts at Trivandrum, Kerala.
13. Amendments
Astrasoft reserves the right to modify these Terms and Conditions at any time without prior notice.
Failure to receive notification of changes does not invalidate them. The latest version will always be available on our website.
